Terms of Service

These terms of service (the "Terms") govern your access to and use of the website headless-web.com and any subdomains (the "Site"), operated by The Headless Web FZE LLC ("Headless Web", "we", "us", "our"), a company registered in the United Arab Emirates under Licence No. 2628310983888, with a registered office at 26th Floor, Amber Gem Tower, Ajman, United Arab Emirates.

By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy and Cookie Policy. If you do not agree, please do not use the Site.

These Terms cover use of the Site only. Any professional services we provide are governed by a separate written engagement letter, statement of work, or master services agreement ("Service Agreement"). In the event of any conflict between these Terms and a Service Agreement, the Service Agreement prevails for those services.

You may use the Site only if you are at least 18 years old and legally able to enter into a contract. You agree to use the Site only for lawful purposes and in accordance with these Terms.

You must not:

• use the Site in any way that breaches applicable law or regulation;
• attempt to gain unauthorised access to the Site, its servers, or any connected system or network;
• probe, scan or test the vulnerability of any system or network without our prior written consent;
• introduce malware, viruses, worms, or any other malicious code;
• interfere with, disrupt or place unreasonable load on the Site, including through automated means;
• scrape, harvest, mirror or systematically extract data from the Site without our prior written consent, other than by well-behaved crawlers respecting our robots.txt;
• use the Site to send unsolicited communications;
• reverse engineer, decompile or disassemble any part of the Site, except to the extent permitted by law.

We reserve the right to suspend or restrict your access to the Site if we reasonably believe you have breached these Terms.

When you submit an enquiry through our contact form or a landing-page lead form, you are asking us to consider providing services to you. Submitting an enquiry does not create a binding services contract. A binding services contract only comes into existence when a Service Agreement is signed by both parties (or otherwise agreed in writing).

You confirm that any information you submit is accurate, that you are entitled to submit it, and that submitting it will not breach any obligation to a third party.

We process personal data submitted via these forms as described in our Privacy Policy.

Unless otherwise stated, all content on the Site — including text, graphics, logos, icons, images, code samples, case studies, wireframes and design elements — is owned by or licensed to Headless Web and is protected by copyright, trade mark and other intellectual-property laws.

You may view, download and print pages from the Site for your own personal or internal business use, provided you do not modify the content or remove any copyright or proprietary notices. You may not otherwise reproduce, republish, distribute, sell, licence, publicly display or create derivative works from any Site content without our prior written consent.

"Headless Web", the Headless Web logo, and related graphics are trade marks of The Headless Web FZE LLC. All other trade marks appearing on the Site are the property of their respective owners.

Ownership of deliverables produced for clients under a Service Agreement (including custom code, designs and content) is governed by the terms of that Service Agreement, not by these Terms.

If you provide us with feedback, suggestions, ideas or other submissions relating to the Site or our services ("Feedback"), you grant us a non-exclusive, perpetual, irrevocable, worldwide, royalty-free licence to use, reproduce, modify and incorporate that Feedback into our products, services and marketing, without any obligation to you. You confirm that you are entitled to grant this licence and that your Feedback does not infringe any third-party rights.

The Site may contain links to third-party websites, services or content that we do not operate or control. Those links are provided for convenience only and do not imply endorsement. We are not responsible for the availability, accuracy, content or practices of any third-party site or service. Your use of any third-party site or service is at your own risk and governed by the terms and privacy notices of that third party.

We make reasonable efforts to keep the Site available, but we do not guarantee uninterrupted or error-free operation. The Site may be unavailable from time to time due to maintenance, upgrades, or events outside our reasonable control. We may modify, suspend or discontinue any part of the Site at any time without notice.

To the fullest extent permitted by law, the Site and all content on it are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy or availability.

To the fullest extent permitted by law:

• we will not be liable for any indirect, incidental, special, consequential or punitive damages, including but not limited to loss of profits, revenue, business opportunity, goodwill, data, or anticipated savings, arising out of or in connection with your use of the Site;
• our total aggregate liability arising out of or in connection with the Site (whether in contract, tort, breach of statutory duty or otherwise) will not exceed one hundred pounds sterling (GBP 100);
• these limitations apply even if we have been advised of the possibility of such damages.

Nothing in these Terms limits or excludes our liability for:

• fraud or fraudulent misrepresentation;
• death or personal injury caused by our negligence;
• any other liability that cannot be limited or excluded under applicable law.

Our liability for professional services provided under a Service Agreement is governed by the terms of that Service Agreement, not by these Terms.

To the fullest extent permitted by law, you agree to indemnify and hold harmless Headless Web and its officers, employees and agents from and against any claims, losses, damages, liabilities, costs and expenses (including reasonable legal fees) arising out of or connected with your breach of these Terms, your misuse of the Site, or your infringement of any third-party rights.

Our collection and use of personal data through the Site is described in our Privacy Policy and Cookie Policy, which form part of these Terms.

We may update these Terms from time to time. When we do, we will change the "Last updated" date at the top of this page. Material changes will take effect when posted, and your continued use of the Site after that date constitutes acceptance of the updated Terms. Please check this page periodically.

These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of England and Wales.

Any dispute arising out of or in connection with these Terms will be subject to the exclusive jurisdiction of the courts of England and Wales, save that we retain the right to bring proceedings against you for breach of these Terms in your country of residence or any other relevant country.

Nothing in this section affects any mandatory consumer-protection rights you may have under the laws of your country of residence.

Disputes relating to services provided under a Service Agreement are governed by the governing-law and jurisdiction clauses of that Service Agreement.

If any provision of these Terms is held to be unlawful, invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision does not waive that right or provision. You may not assign or transfer your rights or obligations under these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition or sale of assets. These Terms constitute the entire agreement between you and us in relation to the Site (excluding any Service Agreement).
